Forum Terms of Use

These Forum Terms of Use (these “Forum Terms”), in addition to any other agreement between you and Great Expectations Labs, Inc., a Delaware corporation (“Great Expectations,” “Company,” “we,” “us,” “our”), govern any use by you or your employees, consultants, contractors, and agents, as applicable (“Authorized Users”) of any forum or other online discussion platform hosted or made available by Great Expectations (each, a “Forum”). In addition to the other terms and conditions of these Terms, our Forum terms of use govern any use by you or an Authorized User of any Forum and any Content shared, submitted, or uploaded to any Forum by you or any Authorized User (“User Content”). Such terms of use are hereby incorporated into these Terms as if fully set forth herein.

1.  Account

Use of a Forum, or certain features of a Forum, may require creation of a separate account for such Forum. Upon creation of any such account, you represent and warrant that (a) the information you provide to create such account, including without limitation, a valid email address, is true, accurate, and complete and (b) you have full right and authority to provide such information to Great Expectations for use in accordance with these Terms. Neither you nor any Authorized User may share login credentials for any such account with any third party. You are responsible for all actions taken in connection with such account and must notify Great Expectations immediately if you suspect that your account with respect to any Forum has been compromised in any way. You or any Authorized User may close your account with respect to any Forum by notifying Great Expectations. Great Expectations may restrict, suspend, or close your account or the account of any Authorized User with respect to any Forum, and/or terminate your or such Authorized User’s access to any Forum, in accordance with our policy for handling copyright-related takedown requests or if we reasonably suspect any activity under account violates any of the terms of these Terms. In addition, we reserve the right, in our sole discretion, to modify or discontinue any Forum at any time or to migrate any Content from one Forum to another at any time.

2.  Content; Ownership

All ownership rights in and to any Content shared, submitted, posted or uploaded to any Forum remain with the party that shared, submitted, posted or uploaded such Content to a Forum. We make no warranties regarding any Content or websites to which such Content may be linked. You are fully and solely responsible for all Content shared, submitted, or uploaded to any Forum by you or any Authorized User (“User Content”) and may select the permissions that apply to such User Content within the functionality of the applicable Forum. You hereby grant to Company a non-exclusive, perpetual, royalty-free, worldwide right and license to publicly display and modify User Content uploaded to any Forum. Where applicable and permitted under applicable law, you also agree to waive any “moral rights” (or the equivalent under applicable law) with respect to User Content, such as your right to be identified as the author of any User Content. You represent that you have full right and authority to share, submit, or upload all User Content and to grant Company the foregoing license with respect to such User Content, in each case without violation or misappropriation of the rights of any third party. You acknowledge that we do not have control over use of User Content by third parties, and we shall have not liability to you or any Authorized User for any such use by third parties. We reserve the right, but not the obligation, to monitor, review, change, redact, and delete any Content on a Forum for any reason, including but not limited to, Content that, in our sole discretion, violates these Terms. We may take these actions without prior notification to you or any third party. You will immediately notify us if you believe any Content has been submitted to a Forum in violation of the terms of use for such Forum or in violation of applicable law.

3.  Acceptable Use Policy

All User Content and all use by you or any Authorized User must comply with the following acceptable-use requirements:

(a)  User Content and use of any Forum by you and your Authorized Users must comply with applicable law.

(b) You may not access any Forum under the account of another user or buy, sell, or otherwise trade in user names or other unique identifiers on a Forum.

(c)  Forums may not be used to send advertisements, chain letters, or other solicitations through a Forum or to gather addresses or other personal data for commercial mailing lists or databases.

(d) You may not automate access to Forum or monitor a Forum, such as with a web crawler, browser plug-in or add-on, or other computer program that is not a web browser; provided, that the foregoing does not restrict crawling a Forum solely for the purpose of indexing it for a publicly available search engine.

(e)  You may not use a Forum to send email to distribution lists, newsgroups, or group mail aliases.

(e)  You may not falsely imply that you are affiliated with or that you or your Content are endorsed by Great Expectations.

(f)  You may not hyperlink to images or other non-hypertext content on a Forum on other webpages.

(g) You may not remove any marks showing proprietary ownership from Content or other materials downloaded from a Forum.

(h) You may not show any part of a Forum on other websites with <iframe>.

(i)  You may not disable, avoid, or circumvent any security or access restrictions of a Forum.

(j)  You may not strain infrastructure of a Forum with an unreasonable volume of requests, or requests designed to impose an unreasonable load on information systems underlying a Forum.

(k) You may not impersonate others through a Forum.

(l) You may not use a Forum for the purposes of creating products or services that compete with the Services or otherwise for performing competitive analysis.

(m) You may not encourage or help anyone in violation of these terms.

4.  Content Policy

All User Content must comply with the following requirements:

(a)  User Content may not be illegal, offensive, or otherwise harmful to others, including without limitation Content that is harassing, inappropriate, or abusive or that encourages illegal, offensive or harmful behavior.

(b) User Content may not violate the law, infringe anyone’s intellectual property rights, violate anyone’s privacy rights, or breach agreements you have with other parties.

(c)  User Content may not contain or link to malicious computer code, such as computer viruses or spyware.

(d) User Content may not be submitted to a Forum as a mere placeholder to hold a particular address, user name, or other unique identifier.

(e)  User Content may not disclose information that you do not have the right to disclose, including without limitation the confidential or personal information of any other party.

YOU ARE SOLELY RESPONSIBLE FOR ALL USER CONTENT THAT YOU POST AND SHARE IN ANY MANNER, INCLUDING ANY PERSONAL HEALTH INFORMATION THAT IS SUBJECT TO HIPAA. WE ARE NOT RESPONSIBLE FOR USER CONTENT, NOR DO WE ENDORSE ANY OPINION CONTAINED IN ANY USER CONTENT. YOU AGREE THAT IF ANYONE BRINGS A CLAIM AGAINST US RELATED TO USER CONTENT THAT YOU POST, THEN, TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAW, YOU WILL DEFEND, INDEMNIFY AND HOLD US HARMLESS FROM AND AGAINST ALL DAMAGES, LOSSES, AND EXPENSES OF ANY KIND (INCLUDING REASONABLE ATTORNEY FEES AND COSTS) ARISING OUT OF OR RELATED TO SUCH CLAIM.

IF YOU ACCESS ANOTHER USER’S USER CONTENT YOU: (A) ACCEPT FULL RESPONSIBILITY FOR YOUR ACCESS AND USE OF ANY SUCH USER CONTENT; (B) ACKNOWLEDGE THAT SUCH USER CONTENT MAY NOT BE COMPLETE OR MEET REGULATORY REQUIREMENTS; (C) ACKNOWLEDGE THAT THE USER OF ANY USER CONTENT DOES NOT REPRESENT OR WARRANT THAT BY POSTING USER CONTENT IN THE SERVICES, THAT THE USER CONTENT IS COMPLETE, ACCURATE, MEETS REGULATORY REQUIREMENTS, OR CARRIES WITH IT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO, WARRANTIES FOR PERFORMANCE OR FOR A PARTICULAR PURPOSE; (D) AGREE THAT YOU WILL PERFORM YOUR OWN INDEPENDENT RESEARCH, ANALYSIS AND APPROVAL OF ANY USER CONTENT BEFORE USING ANY USER CONTENT IN YOUR OPERATIONS; AND (E) WILL NOT HOLD US OR THE USER OF ANY POSTED USER CONTENT LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS OR USE OF ANY USER CONTENT.

5.  Changes to these Terms

At certain times, we may in our discretion need to revise these Forum Terms. If we do, we will notify you by posting notices on the website, or by emailing you, as appropriate in the circumstances.  If you continue using a Forum after the effective date of the changes to these Forum Terms, you will be deemed to have accepted the changes. If you do not agree to the changes, you must no longer use or access any Forum.
